1. Acceptance of Terms

These Terms of Service govern the use of the website at agrimind.hair and the crop phenology services provided under the Agri Mind name by AgCognition LLC, whose field office is at 1177 W 250 N, Springville - 84663-5572, United States (US). By visiting the site, sending a message, or engaging the practice, you agree to these terms. If you do not agree, please do not use the site or the services.

Throughout these terms, the words we, us, and our refer to AgCognition LLC, and the words you and your refer to the person or organization using the site or the services. Agri Mind is the trading name of the practice. Where a person accepts these terms on behalf of an organization, that person confirms they have authority to bind the organization.

These terms work alongside any separate written agreement signed by the parties. Where a signed agreement conflicts with these terms, the signed agreement controls for the engagement it covers.

2. Services Described

AgCognition LLC operates a crop phenology consultancy under the Agri Mind name. The practice walks commercial fields through the growing season, records the stage each planting has reached, and converts those observations into timing advice for growers. The services described on the site include seasonal stage mapping, growth timing advisories, field trial planning, weather risk notes, soil and tissue scheduling, and harvest readiness reports.

The descriptions on the website are provided for general information. The precise scope of any engagement is set out in the proposal or agreement for that engagement, including the fields in scope, the walking schedule, and the deliverables. Nothing on the website constitutes a binding offer to provide a particular service, and we may decline an engagement for any lawful reason.

We may modify, expand, or discontinue any description of the services on the site at any time. Where a change affects an active engagement, the terms of that engagement continue to apply unless we agree otherwise in writing.

3. Eligibility

The site and the services are intended for adults and for organizations acting through adults. By using the site you confirm that you are at least the age of legal majority in your jurisdiction and that you have the capacity to enter into a binding agreement.

If you use the site on behalf of a business or other organization, you confirm that you are authorized to act for that organization and to accept these terms on its behalf. You also confirm that you will not use the services for any purpose that is unlawful or that violates these terms.

We reserve the right to refuse service, to close an account, or to restrict access to the site where we reasonably believe these conditions are not met or where continued service would expose the practice or its clients to risk.

4. Client Engagements

A client engagement begins when both parties agree on the scope, the schedule, and the fees. That agreement may take the form of a signed proposal, an exchange of emails that clearly states the terms, or another written record. The agreement identifies the person responsible for coordinating access to the fields and for providing accurate information about the crops in scope.

The client agrees to provide safe and lawful access to the fields, to disclose any known hazard on the property, and to inform us of any restriction that affects when or how a walk may be conducted. The client also agrees to give us the field records and asset information reasonably needed to deliver the service.

Either party may request a change to the scope of an engagement. A change takes effect only when both parties agree to it in writing, and any change to fees or schedule will be reflected in that written record. Until a change is agreed, the original terms continue to govern the work.

5. Permitted Use of the Site

You may use the site for lawful purposes connected with learning about the practice, contacting us, and managing an engagement. You may read the pages, print them for your own reference, and share links to them. You may not copy the site in bulk, republish substantial portions, or use the content to build a competing service.

You agree to use the site in a manner that does not interfere with its operation or with the ability of others to use it. This includes refraining from actions that place an unreasonable load on the hosting infrastructure, that attempt to probe the security of the site, or that attempt to reach areas of the system that are not intended for public access.

Where the site offers a contact form or an email address, you agree to use them only to send genuine inquiries. You may not use them to send unsolicited advertising, malicious software, chain messages, or any other content that is unlawful or misleading.

6. Prohibited Conduct

You must not use the site or the services to violate any law, to infringe the rights of another person, or to harm the practice or its clients. Prohibited conduct includes attempting to gain unauthorized access to any system, introducing malicious code, scraping the site at a volume that degrades service, and misrepresenting your identity or your affiliation.

You must not collect or harvest information about other users from the site, and you must not use automated tools to send repeated messages through the contact form. You must not remove or obscure any copyright notice, trademark, or attribution that appears on the content.

Where we determine that prohibited conduct has occurred, we may suspend or terminate access, remove offending content, and take any other action the law allows, including reporting the conduct to the appropriate authorities. These remedies are in addition to any others available to us.

7. Intellectual Property

The site and its contents, including the text, the layout, the graphical elements rendered in code, the field notebook structure, and the stage mapping presentation, are owned by AgCognition LLC or licensed to it. These materials are protected by copyright and other intellectual property laws. The Agri Mind name and the practice marks are used by AgCognition LLC in connection with the consultancy.

Subject to these terms, we grant you a limited, non-exclusive, non-transferable license to view the site and to use it for lawful purposes connected with the practice. This license does not permit you to reproduce the site for commercial purposes, to create derivative works from it, or to distribute copies outside your own organization without written permission.

The client retains ownership of the raw data the client supplies, such as field maps, historical records, and crop information. We retain ownership of the reports, advisories, maps, and analytical materials we prepare, and we grant the client a license to use those deliverables for the internal management of its own fields.

8. Nature of Advisory Services

The advice we provide is observational and agronomic in nature. It rests on the stages we record in the field, the samples we schedule, and the weather information available at the time. The advice is provided to assist the grower in making decisions, and the grower remains responsible for every operational choice made on the land.

Phenology moves with the weather, and conditions can change faster than any walking schedule. Advice that was sound when it was written may become less suitable if a frost, a heat spike, or a storm intervenes. We make reasonable efforts to keep our advisories current, but we cannot promise that conditions will match the assumptions behind any particular note.

We are not a licensed pest control adviser, a veterinarian, a financial adviser, or a provider of legal services, and our advice should not be read as a substitute for those professions. Where a matter calls for a licensed specialist, we will say so and encourage the grower to seek the appropriate professional opinion.

9. No Guarantee of Outcome

Agriculture depends on factors beyond the control of any adviser, including weather, pests, disease, water supply, labor availability, and market conditions. For that reason, we do not guarantee any particular yield, quality, price, or economic result from the use of our services.

We commit to the quality of our observation and to the diligence of our reporting. We do not commit to an outcome that depends on the decisions of others or on conditions that no one can predict. The grower accepts that the value of the service lies in better information and better timing, not in a promise of a specific result.

Nothing in these terms excludes any guarantee or warranty that the law does not permit us to exclude. Where such a guarantee applies, our obligations are limited to the minimum the law requires, and to the extent permitted, to the re performance of the affected part of the service.

10. Fees and Payment

Fees for an engagement are set out in the proposal or agreement for that engagement. Unless the agreement states otherwise, fees are payable on the schedule described in the agreement, and amounts not paid when due may attract interest at the rate permitted by law.

Fees cover the walking schedule and the deliverables described in the agreement. Additional visits, expanded field coverage, or special reporting requested after the agreement is signed may attract additional fees, which we will confirm in writing before the extra work begins.

Travel and reasonable expenses incurred in delivering the service may be charged where the agreement so provides. Invoices are payable in United States dollars unless the agreement states otherwise, and the client is responsible for any tax that applies to the supply of the services.

11. Confidentiality

Each party may receive confidential information from the other during an engagement. This may include field records, business plans, pricing, and other information that is not public. Each party agrees to keep the confidential information of the other in confidence and to use it only for the purpose of the engagement.

Confidential information does not include information that is already public, that becomes public without a breach of this section, that a party already held without a duty of confidence, or that a party receives lawfully from a third party without a duty of confidence. A party may disclose confidential information where the law compels it, provided that the party gives the other reasonable notice where notice is lawful and practical.

These obligations continue after an engagement ends for as long as the information retains commercial value. We take care that the field records of one client are never used to the advantage of another, and we keep client materials separate in the practice records.

12. Third Party Services

The site and the services may rely on third party tools, such as a hosting platform, an email provider, and a domain registrar. These tools help us keep the practice reachable and are chosen for their reliability and their respect for privacy.

We are not responsible for the acts or omissions of a third party that we do not control. If a third party service fails, is discontinued, or changes its terms in a way that affects the practice, we will make reasonable efforts to restore service or to find a suitable alternative.

Where the site links to a third party page, that link does not transfer any responsibility to us for the content or the practices of the destination site. You use third party services at your own risk and subject to their own terms.

13. Disclaimer of Warranties

The site and its content are provided on an as available basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any implied warranty of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the site will be uninterrupted, error free, or free of harmful components, or that any defect will be corrected. We do not warrant that the information on the site is complete, current, or suitable for any particular purpose.

This disclaimer applies to the site and to the general information published on it. It does not reduce the commitments we make in a signed engagement, which are governed by the terms of that engagement and by the law that applies to it.

14. Limitation of Liability

To the fullest extent permitted by law, AgCognition LLC will not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use of the site or the services, including lost profits, lost crops, or lost business opportunity, even if we were advised that such damages were possible.

Our total liability for any claim arising from an engagement is limited to the amount of fees paid by the client for the service that gave rise to the claim, unless the law requires a higher limit. Where the law does not permit a limitation, our liability is limited to the minimum the law allows.

Nothing in this section limits liability for fraud, for wilful misconduct, for death or personal injury caused by negligence where that liability cannot be limited, or for any other liability that the law does not permit us to exclude.

15. Indemnity

You agree to indemnify and hold harmless AgCognition LLC, its members, and its personnel against claims, losses, and costs, including reasonable legal fees, that arise from your breach of these terms, your misuse of the site, or your violation of the rights of a third party.

The indemnity does not extend to a claim that arises solely from our own negligence or wilful misconduct. Where a claim is covered by this section, we will give you reasonable notice and the opportunity to participate in the defense, and we will not settle the claim in a way that imposes an obligation on you without your consent.

This section survives the end of any engagement and the end of your use of the site. It applies only to the extent the loss or claim is attributable to your conduct and not to ours.

16. Suspension and Termination

We may suspend or terminate your access to the site at any time if you breach these terms or if we reasonably believe your continued access poses a risk to the practice, to other users, or to the security of the site. Where practical, we will give notice and an opportunity to address the issue before access is removed.

Either party may end an engagement in accordance with the terms of the agreement for that engagement. Where an engagement ends, the client remains responsible for fees for work already performed, and the confidentiality and intellectual property sections of these terms continue to apply.

On termination, we will return or destroy client materials as the agreement directs and as the law permits. We may retain records where a legal, accounting, or dispute resolution need requires it, and we will keep those records confidential for as long as we hold them.

17. Governing Law and Disputes

These terms are governed by the laws of the State of Utah in the United States, without regard to its conflict of law rules. Subject to the paragraph below, the state and federal courts located in Utah have exclusive jurisdiction over any dispute arising from these terms or from the services.

Before starting a formal proceeding, the parties agree to try to resolve the dispute through good faith discussion. A party who wishes to start that discussion will send written notice to the other, describing the issue and the outcome sought. If the dispute is not resolved within a reasonable period, either party may proceed as the law allows.

Nothing in this section prevents either party from seeking urgent relief from a court where necessary to protect its rights, and nothing limits any right that the law grants to a consumer that cannot be waived by agreement.

18. Changes to These Terms

We may update these terms from time to time to reflect changes in the practice, in the services, or in the law. When we make a change, we will publish the revised version on this page and update the effective date shown at the top. For a material change, we will take reasonable steps to bring it to the attention of affected clients.

Your continued use of the site after a change takes effect means that you accept the revised terms. If you do not agree with a change, you may stop using the site and, where an engagement is active, contact us to discuss how the change affects the work.

We keep prior versions of these terms available on request. If you would like a copy of an earlier version, write to frontdesk@agrimind.hair and we will provide it.
